If you are certified in Texas by TCOLE, you may apply for TCOLE credit.

This course satisfies the TCOLE intermediate Spanish mandate requirement (equivalent to course 2109 or 2110).

During signup, simply select that you want to receive TCOLE credit and enter your TCOLE PID, date of birth, and agency name. We do the rest. When you complete the course, TCOLE will automatically be notified.

This Account and Site User Agreement ("Agreement") is a contract between the user of this Service ("User") and Digitelligent Inc, doing business as MySpanishTeacher.com ("MySpanishTeacher.com") and applies to all use of the on-line language lessons ("Service") available to registered users at www.MySpanishTeacher.com (the "Website"). If the User does not agree to be bound by the terms and conditions of this Agreement and the Privacy Policy, the User should not use or access the Services. By using the Services, User is agreeing to all of the terms of this Agreement.

1. Registration

All Users must register for an account.

2. Payment and Authorization.

User hereby authorizes MySpanishTeacher.com to initiate a single credit card payment to User's credit card account provided at registration.

3. No Warranty.

MySpanishTeacher.com does not guarantee continuous or uninterrupted access to the Service, and operation of the Website may be interfered with by numerous factors outside of MySpanishTeacher.com's control. MySpanishTeacher.com PROVIDES ITS SERVICES "AS IS" AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY. MySpanishTeacher.com SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to all Users. This warranty gives Users specific legal rights and Users may also have other legal rights that vary from state to state.

4. RELEASE OF LIABILITY

Except for the refund set forth in paragraph 4 of this Agreement, which is the User's sole remedy, and in consideration for the services provided under this Agreement, User hereby releases and forever discharges MySpanishTeacher.com and its insurers, principals, agents, attorneys, employees, employers, successors, partners, officers, members, shareholders and affiliates of and from any and all liabilities, claims, demands, rights controversies, damages, actions, claims expenses, costs, fees, interest, judgment, attorney's fees, and any and all incidental, consequential and punitive damages, of whatsoever kind and nature, either in law or in equity, which might exist with regard to any dispute or controversy arising under this Agreement.

5. Indemnification.

User will defend, indemnify and hold MySpanishTeacher.com, its officers, directors, agents and employees harmless from any claim or demand (including attorneys' fees) made or incurred by any third party due to or arising out of User's breach of this Agreement or the Privacy Policy, or User's violation of any law or the rights of a third party relating to User's use of the Service.

6. User Information; Restricted Activities.

User is solely responsible for any information User provides to MySpanishTeacher.com while registering or using the Service ("User Information"). If User uses, or attempt to use the Service for purposes other than the Service, including but not limited to tampering, hacking, modifying or otherwise corrupting the security or functionality of Service, User's account will be terminated and User will be subject to damages and other penalties, including criminal prosecution where available.

7. Trademarks.

MySpanishTeacher.com, and all related logos and services described in the Website are either trademarks or registered trademarks of MySpanishTeacher.com, Inc., and, except as described below, may not be copied, imitated or used, in whole or in part, without the prior written permission of MySpanishTeacher.com. In addition, all page headers, custom graphics, button icons, and scripts are service marks, trademarks, and/or trade dress of MySpanishTeacher.com and may not be copied, imitated, or used, in whole or in part, without the prior written permission of MySpanishTeacher.com.

8. Access and Interference.

The MySpanishTeacher.com Website contains robot exclusion headers and User will not use any robot, spider, other automatic device, or manual process to monitor or copy MySpanishTeacher.com web pages or the content contained herein without MySpanishTeacher.com's prior expressed written permission. User will not use any device, software or routine to bypass robot exclusion headers, or to interfere or attempt to interfere with the proper working of the MySpanishTeacher.com site or any activities conducted on the site. User will not take any action that imposes an unreasonable or disproportionately large load on MySpanishTeacher.com's infrastructure. User will not copy, reproduce, alter, modify, create derivative works, publicly display or frame any content (except for User Information) from MySpanishTeacher.com's web site without the prior express written permission of MySpanishTeacher.com or the appropriate third party.

9. Privacy and Security.

MySpanishTeacher.com does not sell or rent Users' information to third parties for marketing purposes and only uses User Information as described in the Privacy Policy. MySpanishTeacher.com views protection of Users' privacy as a very important principle. MySpanishTeacher.com's computers are located in the United States, and are protected by physical as well as technological security devices. User should only log in to the MySpanishTeacher.com account on a page which begins with either http://www.MySpanishTeacher.com/ or https://www.MySpanishTeacher.com/, as all MySpanishTeacher.com web pages begin with those URLs. A link to MySpanishTeacher.com's current Privacy Policy is available at the bottom of the home page of the MySpanishTeacher.com site. If a User objects to information being transferred or used in this way, the User should not use MySpanishTeacher.com's Services.

10. Termination or Closing An Account.

User may close an account at any time by giving MySpanishTeacher.com written notice of his or her intent to close the account.

11. Remedies and MySpanishTeacher.com's Right to Collect From Users.

Without limiting other remedies, MySpanishTeacher.com may update inaccurate or incorrect information a User provides to MySpanishTeacher.com, contact Users by means other than electronically, limit access to an account and any or all of the account's functions (including but not limited to the ability to request replacement services), indefinitely suspend or close a User's account and refuse to provide MySpanishTeacher.com's Services to a User: (a) who breaches this Agreement or the Privacy Policy; (b) who provides User Information that MySpanishTeacher.com is unable to verify or authenticate; (c) whose account or activities pose a significant legal risk to MySpanishTeacher.com, in MySpanishTeacher.com's sole judgment; or (d) whose actions may cause financial loss or legal liability for MySpanishTeacher.com. If MySpanishTeacher.com closes a User's account, notice will be provided. The rights described in this section are in addition to and apart from any other rights.

12. Assignability.

User may not transfer any rights or obligations User may have under this Agreement without the prior written consent of MySpanishTeacher.com. MySpanishTeacher.com reserves the right to transfer this Agreement or any right or obligation under this Agreement without User's consent. This Agreement may be automatically assigned by MySpanishTeacher.com, in its sole discretion, to a third party in the event of a merger or acquisition.

13. Notices.

14.1. Electronic Communications.

This Agreement constitutes "a writing signed by User" under any applicable law or regulation. To the fullest extent permitted by applicable law, this Agreement and any other agreements, notices or other communications regarding User's account and/or r use of the Service ("Communications"), may be provided to User electronically and User agrees to receive some or all Communications from MySpanishTeacher.com in electronic form. Electronic Communications may be posted on the pages within the MySpanishTeacher.com website and/or delivered to User's e-mail address. All Communications in either electronic or paper format will be considered to be in "writing," and to have been received no later than five (5) business days after posting or dissemination, whether or not User has received or retrieved the Communication. MySpanishTeacher.com reserves the right but assumes no obligation to provide Communications in paper format.

14.2. Procedure.

Except as explicitly stated otherwise, any notices will be given by MySpanishTeacher.com's online message center or to the email address User provide to MySpanishTeacher.com during the registration process. Notice will be deemed given 24 hours after posted or email is sent, unless the sending party is aware that the electronic communication was not received. Alternatively, MySpanishTeacher.commay give User notice by mail to the address provided to MySpanishTeacher.com during the registration process. In such case, notice will be deemed received 5 days after the date of mailing.

14. Legal Disputes.

In the event a dispute arises between User and MySpanishTeacher.com, any controversy or claim that arises out of this Agreement or MySpanishTeacher.com's services ("Claims") will be resolved by one of the processes set out below, or as otherwise mutually agreed upon in writing by the parties. Before resorting to these alternatives, MySpanishTeacher.com strongly encourages Users first to contact MySpanishTeacher.com directly to seek a resolution. MySpanishTeacher.com will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation, as an alternative to litigation.

15.1. Arbitration.

For any Claim (excluding Claims for injunctive or other equitable relief) where the total amount of the award sought is less than $10,000, User or MySpanishTeacher.com may, at its sole discretion, elect to resolve the dispute through binding arbitration conducted in person, by telephone, on-line, and/or based solely upon written submissions where no in-person appearance is required. In such cases, the arbitration will be administered by the Judicial Arbiter Group in Denver, Colorado, in accordance with its applicable rules, or any other established Alternative Dispute Resolution provider mutually agreed upon by the parties. Any judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

15.2. Court.

Alternatively, any Claim may be adjudicated by a court of competent jurisdiction located in Aurora, Colorado or where the defendant is located (in MySpanishTeacher.com's case, Aurora, Colorado, and in User's case, User's principal place of business). User and MySpanishTeacher.com agree to submit to the personal jurisdiction of the courts located within the county of Arapahoe, Colorado.

15. General.

This Agreement is governed by and interpreted under the laws of the state of Colorado, U.S. as such laws are applied to agreements entered into and to be performed entirely within Colorado by Colorado residents. If any provision of this Agreement is held to be invalid or unenforceable, such provision will be struck and the remaining provisions will be enforced. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. MySpanishTeacher.com's failure to act with respect to a breach by User or others does not waive MySpanishTeacher.com's right to act with respect to subsequent or similar breaches. This Agreement and the documents it incorporates set forth the entire understanding between the parties with respect to the subject matter hereof. Sections (4) No Warranty, (5) Limitation of Liability, (6) Indemnification, (9) Access and Interference, (12) Remedies, and (15) Legal Disputes, will survive any termination or expiration of this Agreement.

16. Amendment.

MySpanishTeacher.com may amend this Agreement at any time by posting the amended terms on its site. Except as stated below, all amended terms will be effective 30 days after they are initially posted on the site. Upcoming changes will be posted on the "Site News" section, located on the main member's page once User have logged in.

In order to receive full TCOLE credit, completion of this TCOLE approved training must be reported to the TCOLE reporting system by a licensed provider.
